Terms of use

1. Definitions

"Aidoo" means the SaaS platform published by PLANOR enabling the connection between artificial intelligence (AI) assistants and the Odoo ERP management software via the MCP (Model Context Protocol). "User" means any natural or legal person who has subscribed to Aidoo and uses the service. "AI Provider" means any third-party AI provider (in particular Anthropic, OpenAI, Google, Mistral or any other provider) whose models are used by the User through Aidoo. "Odoo" means the User's ERP instance to which Aidoo connects.

2. Nature of the service

Aidoo is a technical gateway. The service exclusively provides the connection and communication tools between an AI assistant chosen by the User and their Odoo instance. PLANOR does not provide an artificial intelligence service, does not develop AI models, and does not control the responses, decisions or actions produced by third-party AI models. Aidoo forwards the AI's instructions to Odoo and Odoo's data to the AI, without altering, interpreting or validating the content exchanged.

3. Acceptance of terms

Use of the Aidoo service implies the full and unreserved acceptance of these terms of use (ToU). By creating an account or using the service, the User acknowledges having read all of these ToU and accepts them without reservation. PLANOR reserves the right to amend these ToU at any time. The User will be notified of any changes by email or in-app notification. Continued use of the service after notification constitutes acceptance of the new terms.

4. Risks related to artificial intelligence

The User expressly acknowledges and accepts that: (a) AI models may produce inaccurate, incomplete, inappropriate or erroneous results ("hallucinations"); (b) the AI may misinterpret the User's instructions and execute unwanted actions on the Odoo instance; (c) actions performed by the AI on Odoo (creating, modifying or deleting data, validating documents, sending messages, etc.) may have irreversible consequences on the User's data and business processes; (d) the quality and reliability of results depend on third-party AI models over which PLANOR exercises no control; (e) AI providers may modify, degrade or discontinue their services without notice.

5. Human oversight obligation

The User undertakes to maintain permanent and effective human oversight over all actions initiated by the AI through Aidoo. It is the User's exclusive responsibility to: review and approve each action proposed by the AI before its execution on Odoo; configure access permissions appropriately via the Aidoo dashboard; set up regular backups of their Odoo data; train staff in the responsible use of the service; and immediately stop using the service in the event of abnormal AI behavior. Use of Aidoo in autonomous mode (without human oversight) is at the User's exclusive risk.

6. Disclaimer of warranty

The Aidoo service is provided "as is" and "as available." PLANOR makes no warranty whatsoever as to: the accuracy, relevance or reliability of results produced by third-party AI models; the absence of errors in the interpretation or execution of instructions by the AI; ongoing compatibility with all Odoo versions and configurations; the uninterrupted availability of the service or of third-party AI services. No information or advice provided by PLANOR, whether orally or in writing, will create any warranty not expressly set out in these ToU.

7. Limitation of liability

To the extent permitted by law, PLANOR disclaims any liability for: direct or indirect damages resulting from actions executed by the AI on the User's Odoo instance, including but not limited to data loss, database corruption, accounting errors, erroneous orders or invoices, the sending of unwanted communications; financial, commercial or operating losses arising from use of the service; damages resulting from an interruption, malfunction or modification of third-party AI services; damages caused by use of the service without adequate human oversight or in violation of these ToU. In any event, PLANOR's total liability under these ToU shall not exceed the total amount actually paid by the User during the twelve (12) months preceding the triggering event.

8. Indemnification

The User undertakes to indemnify and hold harmless PLANOR, its officers, employees and partners against any claim, action, loss, damage, cost or expense (including reasonable legal fees) arising from or related to: the User's or its staff's use of the service; the breach of these ToU; actions performed by the AI on the User's Odoo instance; any third-party claim related to data processed through the service.

9. Data and confidentiality

The User's Odoo data passes through Aidoo's servers for the processing of requests. The User acknowledges and accepts that: their Odoo data is transmitted to the selected third-party AI providers for the processing of requests — either under the User's own contractual relationship (assistant connected via MCP), or by PLANOR for the hosted AI features (Aidoo Agents, the “Aidoo AI” chat, knowledge bases), under the conditions detailed in the privacy policy and the DPA; beyond the transit of requests, PLANOR retains certain data related to the features used: logging samples (14 days by default, adjustable from 7 to 365 days, can be disabled), “Undo” snapshots (7 days, pre-write capture disabled by default), agent and chat conversations (until deleted) and the agents' execution log (up to 1,000 runs per agent, sensitive parameters redacted); the privacy and data-handling policies of the third-party AI providers apply to the data transmitted to them; it is the User's responsibility to ensure that use of the service complies with their own data protection obligations (GDPR, sector regulations, etc.).

10. Availability and maintenance

PLANOR strives to ensure 24/7 availability of the service, without however being able to guarantee it. The service may be temporarily interrupted for maintenance, updates or in the event of force majeure. PLANOR is not responsible for interruptions due to third-party AI providers or to malfunctions of the User's Odoo instance.

11. Acceptable use

The User undertakes to use the service in compliance with the law and these ToU. It is forbidden to use Aidoo to: attempt to bypass the service's limitations or protections; automate bulk actions without human oversight; process data in violation of applicable regulations; harm the operation of the service or of connected third-party services.

12. Force majeure

PLANOR cannot be held liable for the non-performance of its obligations in the event of force majeure as defined in article 1218 of the French Civil Code, including in particular: natural disasters, pandemics, governmental acts, generalized network or power outages, cyberattacks, failure of third-party AI providers, regulatory changes that make performance impossible.

13. Governing law and jurisdiction

These ToU are governed by French law. In the event of a dispute regarding the interpretation or performance of these terms, the parties undertake to seek an amicable resolution. Failing agreement within thirty (30) days, the dispute will be submitted to the exclusive jurisdiction of the courts within the jurisdiction of PLANOR's registered office, namely the Commercial Court of Meaux.

14. Entry into force

These terms of use, revised in August 2026 (version 2026-08), initially entered into force on April 15, 2025; this version applies to any use of the Aidoo service from August 23, 2026 onward.

Terms and conditions of sale

1. Purpose

These terms and conditions of sale (TCS) govern the contractual relationship between PLANOR, the company publishing the Aidoo service, and its customers for the provision of integration, development, consulting, training and support services on the Odoo software, as well as for subscription to the Aidoo AI service.

2. Pricing and invoicing

Prices are quoted excluding tax, in euros or US dollars depending on the workspace's billing currency, determined at subscription time. The applicable VAT (intra-Community VAT FR57100903780) is added at the time of invoicing where applicable. Aidoo AI subscriptions are billed monthly or annually, per seat, depending on the option chosen by the customer. The service includes a 14-day free trial, no credit card required. Hosted AI features (Aidoo Agents, chat, modules) are metered in credits: each subscription includes a monthly credit allowance (depending on the plan and the subscribed Agents tier — Starter, Pro or Business), reset each calendar month without carry-over; additional credit packs, with no expiry date, may be purchased at any time. Included or purchased credits are neither refundable nor convertible into cash. Once credits are exhausted, the related features are suspended until the monthly renewal or the purchase of a pack — no overage is ever charged. Professional services are billed at the daily rate or under the subscribed package.

3. Payment terms

Services are paid by bank transfer within 30 days of the invoice date. Aidoo AI subscriptions are charged monthly or annually by credit card or SEPA direct debit. Late payment will incur penalties equal to three times the legal interest rate, as well as a flat-rate recovery fee of EUR 40, in accordance with article L441-10 of the French Commercial Code.

4. Commitment and termination

Aidoo AI subscriptions are commitment-free beyond the current period. Termination may occur at any time from the customer area (billing portal) or by email to [email protected]. For a monthly subscription, it takes effect at the end of the current monthly period; for an annual subscription, at the end of the current annual period, with amounts paid for that period remaining due. No further charges apply after the effective date. Credit packs already purchased remain usable until the end of the contract.

5. Intellectual property

Unless explicitly assigned, PLANOR retains the intellectual property of all developments produced. The customer is granted a non-exclusive, non-transferable right to use the deliverables for the duration of their subscription or contract.

6. Liability

PLANOR commits to using the necessary means for the proper performance of the services. Its liability can only be engaged in the case of proven fault and is limited to the amount actually received under the relevant contract during the last twelve (12) months. With respect to the Aidoo AI service, PLANOR exclusively provides a technical gateway between third-party AI assistants and the customer's Odoo software. PLANOR cannot be held liable for the results, decisions or actions produced by the AI models, nor for the direct or indirect consequences of their execution on the customer's Odoo instance, including data loss or corruption, processing errors or any other operational consequence. The customer acknowledges that AI use involves inherent risks of error and undertakes to maintain adequate human oversight. The full terms of use of the Aidoo AI service are detailed in the Terms of Use (ToU).

7. Protection and processing of personal data

Within the Aidoo AI service, PLANOR acts as a processor within the meaning of Article 28 of Regulation (EU) 2016/679 (GDPR), and the customer as the data controller. The terms of this processing are set out in the Data Processing Agreement (DPA), available at https://aidoo.ai/dpa-aidoo-7f3a, which forms an integral part of these terms. By subscribing to the service, the customer accepts this DPA. The arrangements for protecting personal data are also detailed in the privacy policy (GDPR).

8. Governing law and jurisdiction

These TCS are governed by French law. In the event of a dispute, and after seeking an amicable resolution, the competent courts will be those within the jurisdiction of PLANOR's registered office, namely the Commercial Court of Meaux.

Data controller

Data collected

PLANOR collects only the data strictly necessary to provide its services: identity, professional contact details, message content, billing information (processed by Stripe), sign-in data (including Google or Odoo authentication if you use it). With respect to Aidoo AI, the user's Odoo data passes through Aidoo's servers for the processing of requests. Depending on how the service is used, it is transmitted: to the AI assistant connected by the user (Claude, ChatGPT…), under the user's own contractual relationship; or, for the hosted features (Aidoo Agents, the "Aidoo AI" chat, knowledge bases), to the model providers selected by PLANOR — OpenAI (directly) and Anthropic, Google or other catalogue models via the OpenRouter broker — under API offerings that do not use the data for training. If the chat's web access is enabled, search terms are transmitted to Serper; if third-party integrations are connected, the exchanged data passes through Composio. Beyond transit, PLANOR retains certain data related to the features used: logging samples (14 days by default, adjustable from 7 to 365 days, can be disabled), undo snapshots (7 days, option disabled by default), agent and chat conversations, and the agents' execution log (sensitive parameters redacted). Data is encrypted in transit (TLS) and secrets (Odoo API keys) are encrypted with AES-256-GCM. For support purposes, PLANOR may temporarily access an account while handling a request ("impersonation"), without access to secrets. The privacy policies of third-party providers apply to the data transmitted to them; the detailed list of sub-processors and transfer safeguards is set out in the DPA (available on request). It is the user's responsibility to ensure that the data they choose to process through Aidoo AI is compatible with their own regulatory obligations (GDPR, professional secrecy, sector-specific rules).

Purposes

Data is used to respond to your contact requests, manage the customer relationship, deliver the subscribed services, send you commercial communications (with your consent) and comply with our legal and accounting obligations.

Legal basis

Processing is based on contract performance, compliance with legal obligations, and, for marketing communications, on your explicit consent, which you may withdraw at any time.

Retention period

Customer data is retained for the duration of the contract and then archived in accordance with statutory periods (10 years for accounting documents). Prospect data is retained for 3 years from the last contact. For the Aidoo service: logging samples 14 days by default (adjustable from 7 to 365 days), undo snapshots 7 days, encrypted backups 30 days (OVH, France); agent and chat conversations and the agents' execution log are retained until deleted by the user or the workspace is removed. Upon termination, all account data is deleted automatically within 30 days, or immediately upon request.

Your rights

In accordance with the GDPR, you have a right of access, rectification, erasure, portability, objection and restriction of processing of your data. Security

PLANOR implements state-of-the-art technical and organizational measures to protect your data: TLS encryption, sovereign hosting in France (OVH), strictly controlled access, logging and regular audits.
